The Product Specific Terms (Data Services Terms) are in addition to the General Terms . The Data Services Terms form part of the Terms and are hereby incorporated therein. Definitions in these Data Services Terms shall have the same meaning as set out in the General Terms.

The following additional definitions shall apply to these Data Services Terms:

Data Feed: the data to be supplied to you in accordance with and as further detailed in the Data Specification;

Data Format: the format in which the Data Feed will be supplied to the Client as further detailed in the Data Specification;

Data Frequency: the frequency, as detailed in the Data Specification, by which we will provide you with the Data Feed;

Data Specification: the data specification set out in the Heads of Terms or Order Form (as applicable) provided by us to you and incorporating an overview of the Data Feed, Data Format and Data Frequency.

Permitted Use: the use set out in the Data Specification upon which we permit you to use the Data Feed.

1. Licence

1. Subject to you complying with the Terms, we shall provide you with the Data Feed in accordance with the Data Specification.
2. We grant you a non-exclusive and personal licence to use the Data Feed in accordance with the Permitted Use.

2. Your obligations

1. You acknowledge and accept that unless otherwise agreed in writing by you, you must:
2. not sell, commercialise, licence or otherwise distribute the Data Feed;
3. only use the Data Feed for the Permitted Use;
4. not use the Data Feed, its structure and/or architecture (or any information and/or documentation supplied by us) for the purpose of copying, decompiling otherwise attempting to build an alternative and/or competitive solution;
5. notify us as soon as reasonably possible on becoming aware of any unauthorized use of the Data Feed or any issue, concern or fault in the Data Feed including accuracy and/or completeness.
6. You permit us to carry out an independent audit of your use of the Data Feed. Such right shall only be exercised once per year unless we have reasons (acting reasonably) to believe that you are using the Data Feed in breach of the Terms.
7. You acknowledge that the provision of the Data Feed is subject to third-party host providers and suppliers outside our control. Whilst we will use our reasonable endeavours to provide the Data Feed in accordance with the Data Specification, we shall not be liable for any delay and/or failure that is outside our reasonable control.
